The Senior Vice President of Compliance is responsible for the implementation of the firm’s investment advisery and mutual fund compliance programs to ensure its regulatory and fiduciary obligations are met. The Sr. Vice President of Compliance will also serve as the Chief Compliance Officer (“CCO”) of PNC Mutual Funds, PNC Advantage Funds and PNC Alternative Funds. Reports to the Board of Trustees of the Funds’ & to the PNC Chief Compliance Officer of Broker Dealer, RIA and Asset Management businesses.
As required by section 206(4)-7 of the Advisers Act (“the Act”), ensure development, enforcement and ongoing maintenance of the adviser’s policies and procedures are reasonably designed to prevent violation of the Act by the adviser and any of its supervised persons.
Along with the CCO and the Director of Compliance conduct the annual review of the policies and procedures to determine their adequacy and effectiveness.
Report all issues & finds to the CCO of the Broker Dealer/Asset Management Businesses, the president of the advisers as well the Board of the Adviser.
As required under rule 38(a)-1 of the Investment Company Act develop, administration and enforcement of mutual fund board approved policies and procedures reasonably designed to detect, prevent and correct deferral securities laws violations by the fund and its service providers.
As part of the annual review of the compliance program ensure annual compliance site visits are conducts with all primary service providers including investment managers.
Report quarterly to the fund Board on progress of program, issues and challenges.
Meet annually to the Board on the adequacy and operation of the program, any material compliance matter and violations, changes and recommendations for the changes in fund policies and those of its service providers.
Work closely with fund regulatory administration and independent counsel on all regulatory requirements and matters affecting the Funds’.
Advise and direct senior management and staff on all issues concerning compliance rules, regulations, and procedures relating to the PNC Mutual Funds.
Perform risk assessments of each program working closely with the business lines, corporate risk management and fiduciary and corporate compliance.
Provide and support robust business and compliance training for all constituents (e.g. portfolio managers, trading, marketing and sales, compliance).
Ensure Charles River compliance system (and any other system that provides compliance testing) is administered properly and support portfolio management and trading teams.
Manage and coordinate all SEC examinations
